ARIADIA LLC · PLATFORM

Terms and Conditions

Effective October 14, 2026

These terms govern use of Ariadia Platform, operated by Ariadia LLC. Please read them before creating an account or using a workspace.

LegalPrivacyCookiesTerms

Agreement and scope

By creating an account or using the Platform, you agree to these terms. If you act for an institution, you must have authority for the actions you take on its behalf. A separate written agreement with Ariadia LLC controls any conflicting subject matter it expressly covers. These terms do not create fees, automatic renewals or a purchase obligation.

The service is intended for adult professional and institutional users with legal capacity to agree. If you do not agree, do not create an account or use the Platform. Privacy practices are described separately in the Privacy Notice; agreeing to these terms is not consent to unrelated marketing or other optional processing.

Accounts and institutional access

Provide accurate information, use a unique password, protect account and invitation links, and notify Ariadia of suspected misuse. Do not share credentials or impersonate another person. Account setup alone does not grant workspace access. Workspace owners and administrators manage memberships, roles and project assignments and are responsible for authorizing the people they invite.

Only perform actions that you and your institution are authorized to take. A workflow role, recorded review or electronic action in the Platform does not by itself establish professional licensure, delegated spending authority, a binding contract with a third party or approval by a regulator.

Your records and uploaded material

You and the relevant rights holders retain ownership of the material you submit. You authorize Ariadia and its service providers to host, process, reproduce for service delivery, display and transmit that material as needed to operate the Platform for authorized users and comply with applicable obligations. This permission does not transfer ownership or grant an unrestricted right to publish your private workspace material.

You must have permission to supply information about other people and upload or share documents. Respect confidentiality, copyright, licensing and institutional recordkeeping rules. Uploading a code publication, selecting an edition or possessing a copy does not grant excerpt-display or processing rights. Guideline managers and reviewers must verify rights, effective dates, completeness and intended audiences.

Do not upload patient-identifiable information, protected health information, medical records, payment-card details, passwords, unlawful content or malicious files. The Platform is not intended to store patient records, is not represented as HIPAA certified, and these terms do not provide a business associate agreement.

Planning and professional-review limits

Calculations and financial models are planning estimates based on supplied assumptions. The current financial model does not account for every factor, including inflation, tax, depreciation or terminal value. Responsible clinical, engineering, safety, finance and other qualified reviewers must verify assumptions, current requirements, outputs and decisions before relying on them.

The Platform does not provide medical, architectural, engineering, legal or investment advice through ordinary use. It does not guarantee compliance, permit approval, clinical outcomes, construction performance, cost savings or investment returns. A completed workflow is a record of the configured review process, not independent certification of its result.

Ari and source limitations

The current Ari feature answers from saved records and matches manager-reviewed passages; it does not call an external generative AI model. It cannot modify projects, approve decisions or reassign people. A matching passage is not a complete interpretation of a standard. Confirm original sources, exact editions, jurisdiction, exceptions, conditions and conflicts with a qualified reviewer.

Source availability depends on permissions, publication status, rights, project settings and recorded context. A missing result does not mean no requirement applies. Treat example projects as synthetic illustrations, not verified project evidence.

Acceptable use

Do not bypass access controls, access another institution’s data without permission, interfere with service operation, introduce malware, send abusive traffic, misuse invitations, extract information unlawfully or use the Platform for unlawful or rights-infringing activity. Do not represent Ariadia or a publisher as endorsing your project without permission. Ariadia’s branding and software remain owned by Ariadia or their respective rights holders.

Availability, records and ending access

Features may change or be temporarily unavailable. The service is provided with reasonable operational limitations; we do not promise uninterrupted access, error-free content, automatic malware scanning or complete recovery from every incident. Subject to applicable law and any written agreement, we may restrict access to address security risks, misuse, legal requirements or termination of authorized institutional access.

Keep appropriate copies of records you are authorized to retain. Workspace JSON exports are not a full backup: they include accessible project data, report metadata and the latest 200 audit events. Issued reports and audit history preserve historical decisions. Suspension, sign-out or removal from a workspace does not automatically erase account or project records. For access, export or deletion requests, contact the institution and Ariadia; applicable law, recordkeeping duties and agreements may affect what can be removed.

Separate services, charges and responsibility

Any paid access, professional engagement, service level, renewal, cancellation or refund arrangement must be stated in a separate offer or agreement accepted by the relevant parties. These terms do not authorize a charge. Third-party publications, linked services and your institution’s policies may carry additional terms.

You remain responsible for your submissions, authorized use and decisions made using the Platform. Nothing in these terms excludes liability, remedies or consumer or privacy rights that cannot lawfully be excluded. Any allocation of responsibility in a separate institutional agreement remains subject to those mandatory protections.

Governing law, changes and contact

Texas law governs these terms, subject to applicable mandatory laws and any controlling written agreement. These terms do not impose mandatory arbitration or waive non-waivable rights. Contact us first about a dispute so we can try to resolve it.

We may update these terms as the service changes, showing the effective date and giving any notice or obtaining any agreement required by applicable law. Changes do not retroactively remove accrued rights.
